Overview
These Terms of Service ("Terms") govern your use of Tendd and the services we provide. By accessing or using Tendd, you agree to be bound by these Terms. If you do not agree, you may not use the service.
Service Description
Tendd is a proof of service and compliance system for businesses that send staff to client sites. The service is provided on a month-to-month subscription basis, billed via Stripe. You may cancel your subscription at any time, with the cancellation effective at the end of your current billing cycle.
Subscription and Billing
Your subscription is billed monthly via Stripe. You authorize us to charge the payment method on file for the monthly subscription fee. If a charge fails, we will notify you and may suspend your access until payment is received. By using a pilot or starting a subscription, you agree to month-to-month billing unless you contact us to cancel.
Important: System of Record, Not Verification Authority
Tendd is a system of record. It captures and timestamps information that you and your workers input. Tendd does not verify credentials with issuing authorities. You are responsible for:
- Verifying the accuracy and validity of all information entered into Tendd
- Ensuring that workers meet all regulatory and client-specific requirements before assignment
- Maintaining independent verification of credentials, licences, and qualifications as required by law
- Understanding that Tendd's audit trail is proof of what was recorded, not proof that the underlying credentials are valid or current
Uptime and Availability
Tendd is provided on a best-efforts basis. We do not guarantee:
- Uninterrupted or error-free service
- Any specific uptime percentage
- That service defects will be repaired
- That the service will meet all of your requirements
You acknowledge that temporary unavailability due to maintenance, updates, or other operational needs may occur. We will make reasonable efforts to minimize disruption.
Acceptable Use Policy
You agree not to use Tendd for:
- Illegal activities or violation of any applicable law
- Harassment, discrimination, or abuse of any person
- Unauthorized access to or disruption of the service or its infrastructure
- Uploading malicious software, malware, or destructive code
- Attempting to reverse-engineer, decompile, or extract source code
- Reselling or redistributing the service without permission
- Falsifying records, credentials, or audit trails
- Any use that violates the rights of others
User Content and Responsibility
You are responsible for all content you upload, store, or transmit through Tendd, including worker records, shift information, and supporting documents. You grant us permission to store, process, and display this information to deliver the service. You warrant that you have the right to provide this content and that it does not infringe on any third-party rights.
Limitation of Liability
To the fullest extent permitted by law, Tendd and its owners, officers, and employees are not liable for:
- Indirect, incidental, special, or consequential damages
- Loss of data, revenue, profits, or business opportunity
- Any damages arising from your reliance on Tendd or its information
- Delays, errors, or omissions in service delivery
Our total liability for any claim arising from these Terms or your use of Tendd will not exceed the amount you paid for the service in the 12 months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Tendd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the service
- Your breach of these Terms
- Your violation of any law or third-party rights
- Content you upload or provide
- Your management of worker assignments or credentials
Suspension and Termination
We reserve the right to suspend or terminate your access to Tendd if you:
- Breach these Terms
- Engage in illegal activity
- Violate the Acceptable Use Policy
- Fail to pay subscription fees
Upon termination, your account and data access will be disabled. You may request export of your data in accordance with our Privacy Policy, subject to legal retention requirements.
Changes to Terms
We may update these Terms from time to time. If material changes are made, we will notify you via email or by prominent notice on our website. Your continued use of Tendd after changes indicates your acceptance. If you do not agree to updated Terms, you may cancel your subscription.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tendd. If any provision is found to be invalid, the remaining provisions will continue in effect.
Governing Law and Dispute Resolution
These Terms are governed by the laws of Australia. You irrevocably submit to the exclusive jurisdiction of the courts of Australia for any disputes. Any legal action or proceeding must be brought within one year of the claim arising, or be forever barred.
